1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Draftz, including our website, mobile applications, and related services (collectively, the "Service"). The Service is operated by Draftz LLC ("Draftz," "we," "us," or "our"). By accessing, browsing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of the Service

Draftz is an online directory platform that connects property owners, developers, and other consumers with professionals in the architecture, engineering, and construction (AEC) industry — including architects, engineers, contractors, designers, and trades. The Service allows businesses to create profiles, showcase projects, receive reviews, and communicate with potential clients, and allows users to search for, evaluate, and contact those businesses.

Draftz is not a general contractor, a construction manager, a referral agency, or a party to any contract between you and a listed business. We do not perform, supervise, or guarantee any work, and we do not employ, partner with, or control the businesses listed on the Service. Any work performed or agreement entered into is solely between you and the business, and Draftz has no responsibility or liability for the outcome.

3. Eligibility & Account Registration

You must be at least eighteen (18) years of age to create an account or use the Service. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

Draftz offers two broad categories of accounts: regular user accounts (for individuals searching for and communicating with professionals) and business accounts (for professionals and companies listing their services). Business account holders may create and manage business profiles, projects, and locations, and are subject to the additional obligations described in these Terms. You may not create a business account for a business you do not own or are not authorized to represent.

4. User Accounts, Free Tier, and Paid Subscriptions

Draftz offers the following subscription tiers for business accounts. A full, up-to-date comparison of the features included in each tier is available on our Pricing page; the summaries below are provided for convenience and are controlled by the Pricing page in the event of any difference.

• Free ($0): A no-cost tier that includes a basic business listing, a profile page with contact information, appearance in search and map results, the ability to claim your listing, and a custom logo and cover photo, a website link and social media links on your profile, and the ability to receive and respond to client reviews. The Free tier does not include projects, client messaging, analytics, or branch locations.
• Pro ($15.00/month or $144.00/year): Includes everything in Free, plus up to five (5) projects with up to ten photos each, the ability to receive and respond to client messages, an analytics dashboard, and eligibility to apply for a verified badge.
• Expert ($30.00/month or $288.00/year): Includes everything in Pro, plus up to twenty (20) projects, boosted placement in search, eligibility to be featured on the homepage, and the ability to list multiple branch locations.

Yearly subscriptions are billed at a 20% discount compared to monthly billing. Feature availability and limits for each tier are defined in our tier configuration and may change; the Pricing page always reflects the current offering.

Paid subscriptions are processed through Stripe, our third-party payment processor. By subscribing, you authorize Draftz, through Stripe, to charge your selected payment method on a recurring basis until you cancel. Monthly subscriptions renew each month, and yearly subscriptions renew each year.

You may upgrade or downgrade your tier at any time. Upgrades take effect immediately and may result in a prorated charge; downgrades take effect at the end of your current billing period.

Price changes. We may change our subscription fees upon reasonable notice. Any price change will apply only to new billing periods and will not affect your current billing period. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Cancellation and refunds. You may cancel your subscription at any time through your account or by contacting us. Cancellation stops future renewals; you will retain access to paid features until the end of your current paid billing period. All subscription fees are non-refundable except where required by law. We do not provide refunds or credits for partially used billing periods.

Failed payments. If a payment fails, we or Stripe may retry the charge. If payment cannot be collected, your subscription may be downgraded to the Free tier and access to paid features may be suspended until payment is restored.

5. Business Listings, Profiles & Content

Business account holders may create and manage business profiles, branch locations, project portfolios, photos, and other content ("Business Content"). You are solely responsible for the accuracy, completeness, and legality of all Business Content you publish, and you represent that you have all rights necessary to post it.

You retain ownership of your Business Content. By posting it on Draftz, you grant Draftz LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, use, display, reproduce, modify, adapt, and distribute that content on and through the Service for the purpose of operating, promoting, and improving the Service.

Draftz offers a voluntary verification process through which a business may submit documentation for review. A verification badge indicates only that we have reviewed submitted documents at a point in time. Draftz does not verify, validate, or guarantee any business's licensure, registrations, insurance, credentials, or employees. A verification badge is not an endorsement and does not guarantee the quality of any work.

Draftz reserves the right, in our sole discretion, to edit, hide, refuse, suspend, or remove any listing, project, photo, or other content that violates these Terms or that we believe is inaccurate, misleading, inappropriate, or otherwise harmful to the Service or its users.

6. Use of Business Content in Marketing

By publishing Business Content on the Service, you acknowledge and agree that Draftz may use, reproduce, display, and distribute any public Business Content — including business names, logos, cover photos, project photos and descriptions, reviews and ratings, and location information — in Draftz's marketing and promotional materials, in any format and through any channel, including advertisements, social media, newsletters, the Draftz homepage, and partner or third-party promotional placements, without further consent and without compensation to you.

Draftz reserves this right in its sole discretion, and there is no opt-out from this marketing use. You represent that you have all rights necessary to grant this marketing use for all Business Content you publish, including any photos, designs, or other materials contributed by photographers, designers, builders, or other third parties, and that you have obtained their permission where required.

This Section is in addition to, and does not limit, the general license you grant to Draftz under Section 5.

7. Reviews, Messaging & User-Generated Content

Users may post reviews and send messages to businesses through the Service. You agree that all content you post or transmit will be truthful, accurate, and based on your genuine experience, and that you will not:

• post fake, fraudulent, defamatory, or misleading reviews;
• offer or accept compensation in exchange for positive or negative reviews;
• post content that is unlawful, harassing, abusive, threatening, or that infringes the rights of others; or
• use messaging to send spam, solicitations, or harmful content.

You are solely responsible for the content you post or transmit. Draftz may, in our sole discretion, moderate, edit, hide, or remove any review, message, or other user-generated content that violates these Terms or that we believe is inappropriate, and may suspend accounts that abuse these rules.

8. Prohibited Conduct

You agree not to:

• use the Service for any unlawful purpose or in violation of any applicable law;
• harass, abuse, threaten, or impersonate any person or business;
• post false, misleading, or fraudulent information;
• scrape, copy, harvest, or extract data from the Service using automated means;
• reverse-engineer, decompile, or attempt to access the underlying software or systems of the Service;
• interfere with or disrupt the Service, servers, or networks connected to the Service;
• circumvent any paywall, usage limit, or access restriction on the Service;
• use another user's account or share your account credentials; or
• upload or transmit any viruses, malware, or harmful code.

9. Intellectual Property

The Service, including its branding, design, software, features, and trademarks, is owned by Draftz LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

As described above, you retain ownership of the content you post, but you grant Draftz a license to use it on the Service. You may not use Draftz's name, logo, or trademarks without our prior written consent.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Draftz LLC disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Draftz does not warrant that the Service will be uninterrupted, error-free, or secure, or that any listing, review, or profile is accurate, complete, or reliable. We do not endorse, recommend, or guarantee any business or professional listed on the Service, and a verification badge does not mean we have verified any license or credential. You are solely responsible for performing your own due diligence before hiring any professional.

11. Limitation of Liability

To the fullest extent permitted by law, in no event shall Draftz LLC or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Draftz's total aggregate liability for any claim arising out of or related to the Service shall not exceed the amount you paid to Draftz in the twelve (12) months preceding the claim, or, if you are a free user, $0. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Draftz LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.

13. Termination & Suspension

Draftz may suspend or terminate your account, listing, or access to the Service at any time, with or without cause, including for violation of these Terms, non-payment, or fraudulent or harmful activity. You may delete your account at any time through your account settings or by contacting us.

Upon termination, your right to use the Service ceases. We may retain your content and account information as necessary to comply with legal obligations, resolve disputes, or enforce our agreements, and we may delete your content at our discretion.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. You acknowledge that you have read and understood the Privacy Policy, available at /privacy, and agree to its terms.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them or to the Service shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles.

You and Draftz agree that any dispute, claim, or controversy arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Yavapai County, Arizona, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, you and Draftz each waive any right to participate in a class action or class-wide arbitration.

16. Changes to the Terms

We may update these Terms from time to time. When we do, we will notify registered users by email and/or through the Service. The most current version will always be available on this page. Your continued use of the Service after any changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

18. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and Draftz LLC regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms or your account without our consent; Draftz may assign these Terms without restriction. No joint venture, partnership, or agency relationship is created by these Terms.
